1. Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of Aisely CRM, operated by Aisely ("Aisely", "we", "us", "our"), including our website at aisely.in and application at crm.aisely.in (together, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of service

Aisely CRM is a software-as-a-service customer relationship management platform that helps businesses capture, organise, and follow up on sales leads across channels including website forms, Meta and Google advertising, phone calls, and WhatsApp Business messaging. Certain features, including AI call transcription and WhatsApp messaging, depend on third-party services (including Meta's WhatsApp Business Platform) and their continued availability.

3. Accounts & eligibility

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and authorised to act on behalf of the business you represent to use the Service.

4. WhatsApp Business Platform usage

If you connect a WhatsApp Business Account to Aisely CRM, you (the Business Customer) — not Aisely — are responsible for that WhatsApp Business Account, its phone number, and compliance with WhatsApp's Business Policy and Meta's Platform Terms.

You agree to only message end customers who have provided appropriate opt-in consent to be contacted, and to comply with all applicable messaging, marketing, and data protection laws in the jurisdictions where your customers are located. Aisely acts solely as a technology provider facilitating this messaging on your behalf and does not control the content of messages you send.

Aisely reserves the right to suspend WhatsApp messaging functionality for any account found to violate WhatsApp's Business Policy, including sending unsolicited bulk messages ("spam") or prohibited content.

You agree not to use the Service to:

We may suspend or terminate accounts that violate this section, with or without notice, where necessary to protect the Service, other users, or comply with law or third-party platform requirements.

6. Your data & your customers' data

As between you and Aisely, you retain ownership of the lead, contact, and message data you input into or generate through the Service ("Customer Data"). You are the data controller for the personal information of your own end customers, and Aisely acts as a data processor, handling Customer Data only to provide the Service and in accordance with our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents to have Aisely process this data on your behalf.

7. Fees & subscription

Access to certain features of Aisely CRM may require a paid subscription, as agreed separately with your Aisely account representative or as shown in your plan. Fees, billing cycles, and payment terms will be communicated at the time of purchase or upgrade and are subject to change with reasonable notice.

8. Intellectual property

Aisely and its licensors retain all right, title, and interest in and to the Service, including its software, design, and branding. Nothing in these Terms grants you any ownership rights in the Service. You grant Aisely a limited licence to host, process, and display your Customer Data solely to provide the Service to you.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs (such as call transcriptions or summaries) will be fully accurate.

10. Limitation of liability

To the maximum extent permitted by law, Aisely shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the fees you paid to Aisely in the twelve (12) months preceding the claim.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, upon reasonable notice for convenience, or immediately where required to comply with law or a third-party platform's requirements (including Meta's). Upon termination, your right to use the Service ceases, though certain provisions of these Terms (such as limitation of liability and governing law) will survive.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
